Clear Studios Membership Agreement

This Clear Studios Membership Agreement (the “Agreement”) is entered into between Perfect Smiles and Orthodontics, PLLC, a Florida professional limited liability company and the provider of clinical services (“Provider,” “we,” “us,” or “our”), and the individual enrolling in the membership (“Member,” “you,” or “your”). Clear Studios is the consumer-facing brand through which the membership and patient experience are presented.

By selecting the required acknowledgment boxes, electronically signing, and submitting payment, you acknowledge that you have read, understand, and agree to this Agreement.

1. Plain-Language Membership Summary

The $99 enrollment payment activates the membership and is not a deposit, treatment down payment, insurance premium, or payment toward clear-aligner or another separately priced treatment unless a separate written agreement expressly says otherwise.

2. Membership Benefits

While your membership is active and your account is current, you may receive the benefits listed in the then-current Membership Benefits Schedule, attached as Schedule A and incorporated into this Agreement.

The intended membership benefits are:

1. Eligible professional polishing or preventive-cleaning benefits;
2. Eligible professional whitening benefits;
3. Eligible dental examinations and diagnostic services;
4. An oral-health saliva screening benefit;
5. Clear pricing before additional treatment is authorized;
6. Affordable Member pricing across clear studios products and services.
7. Access to available member appointment times and care coordination.

Only benefits expressly stated in Schedule A are included. Advertising, social-media content, oral statements, or general website descriptions do not expand the written benefits.

3. Clinical Eligibility and Professional Judgment

Membership does not guarantee that any requested service will be clinically appropriate. A licensed dental professional determines which examination, cleaning, polishing, diagnostic test, whitening service, periodontal service, referral, or other care is appropriate based on your individual condition.

A cosmetic polishing, AIRFLOW® service, routine preventive cleaning, whitening service, or membership benefit is not a substitute for clinically necessary periodontal, restorative, emergency, surgical, endodontic, orthodontic, or comprehensive dental care.

If an examination identifies gum disease or another condition requiring treatment outside an included membership benefit, the clinical team will explain the finding, appropriate options, and applicable charges before treatment is authorized. We may decline or postpone a membership service when providing it would be clinically inappropriate, unsafe, unlawful, or inconsistent with professional standards.

4. Meaning of “Unlimited”

If Schedule A describes an eligible benefit as “unlimited,” that term means the benefit does not have a preset numerical limit during an active membership, but it remains subject to:

• Clinical appropriateness and professional judgment;
• Provider-recommended timing and minimum intervals;
• Reasonable scheduling and appointment availability;
• Completion of required examinations, records, and consents;
• The Member’s compliance with clinical instructions and office policies;
• The defined scope of the membership benefit; and
• Restrictions against misuse, unsafe frequency, duplicate services, transfer, resale, or commercial use.

“Unlimited” does not mean on-demand care, medically unnecessary care, unlimited diagnostic testing, unlimited treatment of disease, or a guarantee that a particular service will be provided whenever requested.

5. Services Not Included

Unless expressly listed in Schedule A, the membership does not include:

• Emergency or urgent dental care;
• Fillings, crowns, bridges, implants, dentures, extractions, root canals, oral surgery, or restorative treatment;
• Scaling and root planing, periodontal therapy, or periodontal maintenance;
• Prescription medications;
• Laboratory charges or outside-provider charges;
• Clear aligners, braces, retainers, replacement appliances, refinements, or orthodontic treatment;
• Treatment by another dental provider;
• Services received while the membership is inactive, delinquent, suspended, or canceled; or
• Any service not expressly identified in the written Membership Benefits Schedule.

Additional care may be available at the applicable price under a separate treatment plan and consent.

6. Membership Is Not Insurance

This membership is not dental insurance, a health-insurance policy, a qualified health plan, a health maintenance organization contract, or a substitute for comprehensive dental or emergency care. It does not reimburse services obtained from another provider, pay claims, accumulate cash value, or guarantee payment by an insurer, HSA or FSA eligibility, or any other qualifying method in which eligibility requirements can change from time to time, or that we have no control over.

You remain responsible for services and charges not expressly included in the membership. We do not guarantee that membership payments or services will qualify for HSA, FSA, insurance, or tax treatment.

7. Payment Authorization

You authorize Provider and its payment processor to charge the payment method you provide according to the plan you select at enrollment:

• Monthly Plan: $99 charged immediately upon enrollment (a $70 one-time enrollment fee plus your first month’s $29). The enrollment fee is charged only once and is not recharged on renewal. Then $29 each month, beginning 30 days after enrollment and continuing monthly thereafter until you cancel.
• Annual Plan: A single payment of $348 charged immediately upon enrollment, covering the full 1-year term (the enrollment fee is waived). Your membership renews yearly at $348 until you cancel.

You represent that you are authorized to use the payment method. You authorize us to use a secure account-updater service when supported by the card network or processor. You agree to maintain accurate billing and contact information.

If a scheduled payment fails, we may retry the charge, notify you, suspend membership benefits, and request an updated payment method. No late fee or collection charge will be imposed unless separately disclosed and permitted by law.

8. Membership Term & Auto-Renewal

Your membership is a 1-year term beginning on your enrollment date. On your 1-year anniversary date, your membership auto-renews based on the last payment plan you enrolled in:

• Monthly Plan: $29 each month continues (billed 30 days after each renewal date) — the $70 enrollment fee was charged only once at initial signup and is not recharged on renewal; or
• Annual Plan: a new $348 charge in full on the anniversary date, continuing yearly until you cancel, with $0 monthly payments during each new 1-year term.

We reserve the right to change membership plans, pricing, and benefits at any time. Any price increase or material reduction in benefits will not apply before the effective date stated in the advance notice we provide as required by applicable law. If you do not agree to a material change, you may cancel before it becomes effective.

To avoid being charged for the next renewal, you must cancel at least 24 hours before your anniversary date.

9. Cancel Anytime

You may cancel your membership at any time through any of the following methods:

• The online cancellation function at [CANCELLATION URL];
• Email to clearstudiosmanagement@gmail.com;
• Telephone at [MEMBERSHIP SUPPORT NUMBER]; or
• Written notice delivered to 301 W Atlantic Ave, Suite 5, Delray Beach, FL 33444.

Cancellation will stop future recurring membership charges and prevent the next renewal once processed. We will provide written or electronic cancellation confirmation. You should retain that confirmation.

Canceling a payment card, disputing a valid charge, failing to attend an appointment, or telling a clinical team member during an appointment does not substitute for submitting a cancellation request through one of the methods above.

Membership benefits remain available through the end of the current paid billing period unless the membership is terminated for misuse, safety, fraud, nonpayment, or another permitted reason.

10. Nonrefundable Payments

Except as required by law or for a verified duplicate charge, incorrect amount, unauthorized transaction, or other billing error:

• Monthly Plan: the $99 enrollment payment is final and nonrefundable once membership activation is completed, and your previously paid and most recently paid $29 monthly payments are nonrefundable. Cancellation stops future monthly charges but does not refund the enrollment payment or your previously paid and most recent completed monthly payments.
• Annual Plan: the $348 paid-in-full payment is final and nonrefundable. No prorated refunds are issued for partial billing periods or unused services. If paid in advance, your membership remains active until the 1-year expiration/anniversary date.
• No refund or credit is provided for unused benefits, missed appointments, scheduling preferences, failure to seek care, clinical ineligibility for a requested service, relocation, obtaining insurance, or receiving services elsewhere.
• Cancellation is prospective and does not reverse prior properly disclosed charges.

Nothing in this Agreement waives a right that cannot legally be waived. Contact us at clearstudiosmanagement@gmail.com before initiating a payment dispute so we can investigate and correct any verified error promptly.

11. Appointments, Missed Visits, and Availability

Membership does not guarantee immediate, priority, weekend, evening, or same-day appointments. Appointments are subject to operating hours, clinician availability, location capacity, equipment availability, and clinical urgency.

The cancellation and missed-appointment policy is [INSERT POLICY]. Any missed-appointment fee must be separately and clearly disclosed and is not included in the monthly membership fee.

12. Personal and Nontransferable

Membership is personal to the enrolled Member. Benefits may not be transferred, shared, assigned, resold, exchanged for cash, or used by another person. Membership benefits cannot be combined with another discount, promotion, insurance adjustment, or offer unless we expressly permit it in writing.

13. Member Responsibilities

You agree to:

• Provide accurate registration, contact, billing, medical, and dental information;
• Update material health or medication changes before clinical services;
• Attend required examinations and follow professional instructions;
• Treat staff, clinicians, and other patients respectfully;
• Follow appointment, safety, privacy, and facility policies; and
• Pay separately authorized charges not included in the membership.

14. Suspension or Termination by Provider

We may suspend or terminate membership for nonpayment, fraud, misuse of benefits, threatening or abusive conduct, material misrepresentation, repeated violation of scheduling policies, unsafe conduct, or when continued participation would be unlawful or clinically inappropriate.

If we terminate without cause, we will stop future charges and determine whether a prorated refund of the current unused billing period is appropriate. Termination does not eliminate amounts already due for separately authorized treatment or services.

15. Changes to Price or Benefits

We may update future membership pricing, benefits, operating rules, or this Agreement by providing advance written or electronic notice as required by applicable law. A price increase or material reduction in benefits will not apply before the effective date stated in the notice.

If you do not agree to a material change, you may cancel before it becomes effective. Continued membership after the effective date constitutes acceptance only to the extent permitted by law and after legally required notice and consent.

16. Separate Clinical Consents and Treatment Agreements

This Agreement is not informed consent for a clinical procedure. Before treatment, you may be required to complete medical and dental history, examination, procedure-specific informed consent, privacy acknowledgments, financial consent, and a separate treatment agreement.

Clear aligners and other orthodontic treatment require a separate examination, diagnostic review, clinical acceptance, treatment consent, and written payment agreement. Membership enrollment does not guarantee clear-aligner eligibility, treatment acceptance, a specific price, duration, or result.

17. Electronic Communications and Signatures

You consent to receive this Agreement, receipts, payment notices, cancellation confirmations, and legally required membership notices electronically at the email address or mobile number you provide. Your electronic acceptance and signature have the same effect as a handwritten signature.

Marketing text-message or email consent, when requested, is separate from membership acceptance and is not a condition of purchasing the membership. Transactional communications concerning your membership, billing, appointments, or care may still be sent as permitted by law.

18. Privacy

Personal and health information will be handled according to the applicable Privacy Policy and Notice of Privacy Practices. Do not submit urgent or emergency health information through a general advertising form, website chat, or social-media message.

19. No Guarantee of Results

Individual conditions, responses, treatment needs, and results vary. Membership does not guarantee a particular cosmetic, preventive, diagnostic, whitening, periodontal, orthodontic, or health outcome.

20. Governing Law; Dispute Process

This Agreement is governed by Florida law, without regard to conflict-of-law principles. Before filing a nonemergency claim concerning membership billing or administration, the parties agree to provide written notice describing the dispute and allow 30 days for a good-faith resolution.

Venue, arbitration, class-action waiver, jury-trial waiver, prevailing-party attorney-fee provisions, and any limitation of liability should be inserted only after specific review and approval by Florida healthcare counsel.

21. General Terms

This Agreement, Schedule A, and any checkout terms expressly incorporated into it constitute the complete membership agreement. A separate clinical consent or treatment agreement governs the applicable clinical procedure. If a provision is unenforceable, it will be limited or severed to the minimum extent necessary without invalidating the remainder. Failure to enforce a provision once is not a waiver. You may not assign this Agreement. We may assign administrative obligations to an affiliated management entity or successor while preserving applicable clinical and legal responsibilities.

Schedule A — Membership Benefits

Clinical Guidelines

All services are provided under the supervision of licensed professionals and are subject to clinical eligibility, professional judgment, examination requirements, recommended intervals, reasonable scheduling, availability, contraindications, product instructions, and applicable clinical standards. Included services do not guarantee a particular clinical outcome. Member Add-Ons are not included in the membership and require separate authorization and payment.

Diagnostic Imaging & Screening

Diagnostic imaging is provided only when clinically appropriate and ordered or approved as required by a licensed clinician and is subject to applicable radiation-safety and clinical standards. Screening services are for screening purposes only and are not a guarantee or comprehensive diagnosis of systemic disease.

No benefit has cash value. Unused benefits do not roll over, create a refund, or reduce separately priced treatment.

Public Website Membership Terms Summary

The Clear Studios Membership is a 1-year term that begins with a $99 payment today (Monthly Plan: $99 today = $70 one-time enrollment fee + first month’s $29, then $29/month until cancelled — the enrollment fee is charged only once and not recharged on renewal) or a $348 paid-in-full Annual Plan (enrollment fee waived; renews yearly at $348 until cancelled). On your 1-year anniversary, your membership auto-renews based on your last enrolled plan unless you cancel.

Benefits apply only as stated in the Membership Agreement and remain subject to clinical evaluation, professional judgment, safety requirements, appointment availability, and applicable exclusions. Additional or out-of-scope treatment may involve separate charges.
